These Terms of Service ("Terms") govern your access to and use of the Juner mobile application and related services (collectively, the "Service") operated by Juner Health, Inc. ("Juner," "we," "us," or "our").
Please read these Terms carefully. By creating a Juner account, downloading the app, or using the Service in any way, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use Juner.
These Terms include a mandatory arbitration provision and a class action waiver in Section 15. Please read Section 15 carefully, as it affects your legal rights.

1. Who We Are
   Juner is operated by Juner Health, Inc., a Delaware C-Corporation. Juner Health, Inc. is the company you are contracting with under these Terms and is responsible for the Service.
   The Juner application is published and distributed on the Apple App Store and Google Play Store by Storend Ventures LLC, which acts as the publisher of record on behalf of Juner Health, Inc. Storend Ventures LLC handles app store distribution only and is not a party to these Terms. Your agreement for use of the Service is with Juner Health, Inc.

2. Eligibility
   You must be at least 18 years old to use Juner.

   By using the Service, you represent and warrant that:
   You are at least 18 years of age.
   You have the legal capacity to enter into these Terms.
   You are not located in, or a resident of, a country or region subject to U.S. government embargoes or designated as a "terrorist-supporting" country.
   You are not listed on any U.S. government list of prohibited or restricted parties.
   You will use the Service only in compliance with these Terms and all applicable laws.

Juner is currently available to users in the United States, excluding the State of Washington. We may restrict access from other regions at our discretion.

3. Your Account
To use most features of Juner, you must create an account. When you create an account, you agree to:

Provide accurate, current, and complete information.
Keep your login credentials secure and confidential.
Notify us immediately at hello@getjuner.com if you suspect any unauthorized access to your account.
Be responsible for all activity that occurs under your account.

You may not create an account for anyone other than yourself, share your account with others, or transfer your account to another person.
We reserve the right to suspend or terminate accounts that violate these Terms, that we reasonably suspect are fraudulent, or that pose a security or safety risk.

4. What Juner Does and Does Not Do
Juner helps you take ownership of your sexual and reproductive health. The Service includes features such as:

A personalized screening plan based on the information you provide.
Juner Lens, which scans medication labels and provides information about what you are taking.
A clinic and care provider finder.
Juner AI, a conversational assistant for health-related questions.
Reminders, tracking, and educational content.

Juner is not medical care. Juner is not a medical device, is not a substitute for professional medical care, and does not provide medical diagnosis or treatment. Specifically:

We do not diagnose health conditions.
We do not prescribe medications.
We do not advise you to start, stop, or change any treatment.
We do not provide emergency medical advice.

If you are experiencing a medical emergency, call 911 or your local emergency number, or go to your nearest emergency department. For questions about your specific health situation, consult a licensed healthcare provider.
Information provided through Juner, including through Juner AI, is for general informational and educational purposes only. You are responsible for your own health decisions, and you should always consult a qualified healthcare provider before making changes to your medications, treatment, or care plan.

5. Acceptable Use
You agree not to use the Service to:

Violate any applicable law, regulation, or third-party rights.
Provide false, misleading, or inaccurate information that could harm yourself or others.
Use Juner to diagnose, treat, or provide medical advice to other people.
Attempt to access another user's account or data without authorization.
Reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code of the Service.
Use any automated system, bot, scraper, or other means to access the Service or collect data from it.
Interfere with, disrupt, or attempt to overload the Service or its infrastructure.
Upload or transmit any virus, malware, or other harmful code.
Use the Service to harass, abuse, defame, or harm any person.
Resell, sublicense, or commercially exploit the Service without our written permission.
Use the Service to develop a competing product or service.
Bypass any security or authentication measures.

We reserve the right to investigate and take appropriate action against anyone who violates this section, including removing content, suspending or terminating accounts, and reporting activity to law enforcement.

6. Juner AI
Juner AI is a conversational assistant powered by third-party large language model technology. When you use Juner AI, your conversations are transmitted to our AI provider for processing.
You acknowledge and agree that:

Juner AI provides general information only. It does not provide medical diagnosis, treatment, or emergency advice.
AI-generated responses may contain errors, omissions, or inaccuracies. You should not rely on Juner AI as your sole source of health information.
You should not share information in Juner AI that you would not want recorded or processed by a third-party service.
We may store your conversation history to improve your experience and provide context for future responses. You can delete your conversation history at any time.

7. Your Content
Juner allows you to input health information, medication data, photos, conversations, and other content (collectively, "Your Content"). You retain ownership of Your Content.
By submitting Your Content to Juner, you grant us a non-exclusive, royalty-free, worldwide license to use, store, process, transmit, and display Your Content solely for the purpose of providing the Service to you. This license ends when you delete Your Content or close your account, except where retention is required by law or as described in our Privacy Policy.
You represent and warrant that:

You have the right to submit Your Content to Juner.
Your Content does not infringe any third party's rights.
Your Content does not violate any law or these Terms.

We do not claim ownership of Your Content and will not sell it, share it with advertisers, or use it to train AI models.

8. Intellectual Property
The Juner application, its design, branding, content, features, software, and all related materials (collectively, "Juner IP") are owned by Juner Health, Inc. or its licensors and are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms.
You may not:

Copy, modify, distribute, sell, or lease any part of Juner IP.
Use Juner branding, logos, or trademarks without our written permission.
Create derivative works based on Juner IP.
Remove any copyright, trademark, or proprietary notices from the Service.

All rights not expressly granted to you in these Terms are reserved by Juner.

9. Fees and Payments
Juner is currently free to use. Some features may become available only through a paid subscription or one-time purchase in the future. If we introduce paid features:

We will give you clear notice before any feature you currently use becomes paid.
All prices and payment terms will be presented to you before you are charged.
Payments will be processed through Apple App Store, Google Play, or another payment provider, subject to their terms.
Subscriptions automatically renew until canceled. You can cancel anytime through your app store account settings.
Refunds, when available, are governed by the applicable app store's refund policy.

Waitlist members and founding members may receive promotional pricing that is not offered to general users. Any such promotional pricing will be communicated clearly at the time of offer.

10. Third-Party Services and Links
Juner may integrate with or link to third-party services, websites, or content (for example, Apple App Store, Google Play, healthcare provider directories, or external articles). We do not control these third parties and are not responsible for their content, practices, or policies.
Your use of any third-party service is governed by that third party's terms and policies, not these Terms. We encourage you to review them before using any third-party service.

11. Termination
By you. You may stop using Juner at any time. You may delete your account directly from inside the app (Profile → Account → Delete Account), or by emailing hello@getjuner.com.
By us. We may suspend or terminate your account and access to the Service at any time, with or without notice, if we reasonably believe that:

You have violated these Terms.
Your use of the Service poses a risk to other users, to Juner, or to third parties.
We are required to do so by law.
We are discontinuing the Service or a specific feature.

Upon termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination (including Sections 8, 12, 13, 14, 15, and 16) will survive.

12. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, JUNER DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:

Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Warranties that the Service will be uninterrupted, timely, secure, or error-free.
Warranties that any information provided through the Service is accurate, complete, reliable, or current.
Warranties regarding any results obtained through use of the Service.

You acknowledge that Juner is not a healthcare provider and that any information provided through the Service, including through Juner AI, is for general informational and educational purposes only. You assume full responsibility for any decisions you make based on information from the Service.
Some jurisdictions do not allow the exclusion of certain warranties. If these laws apply to you, some or all of the above exclusions may not apply, and you may have additional rights.

13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
JUNER, ITS AFFILIATES, AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE.
JUNER'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO JUNER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
THESE LIMITATIONS APPLY EVEN IF JUNER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Some jurisdictions do not allow the limitation or exclusion of liability for certain damages. If these laws apply to you, some or all of the above limitations may not apply, and you may have additional rights.
14. Indemnification
You agree to indemnify, defend, and hold harmless Juner, its affiliates, and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of or access to the Service.
Your violation of these Terms.
Your violation of any third-party right, including any intellectual property, privacy, or publicity right.
Your Content.
Any health decisions you make based on information from the Service.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.
15. Dispute Resolution and Arbitration
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and your right to participate in a class action.

15.1 Informal Resolution
Before filing a formal dispute, you and Juner agree to try to resolve any dispute informally for at least 60 days. To begin informal resolution, send a written notice to hello@getjuner.com describing the dispute and proposed resolution.

15.2 Binding Arbitration
If we cannot resolve a dispute informally, you and Juner agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in English, and the arbitrator's decision will be final and binding.
The arbitration will be held in Wilmington, Delaware, or, at your election if you are a U.S. resident, in the county where you reside. You may also choose to participate in the arbitration by telephone or videoconference.

15.3 Class Action Waiver
YOU AND JUNER AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION OR PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON'S OR PARTY'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF A CONSOLIDATED, REPRESENTATIVE, OR CLASS PROCEEDING.
If this class action waiver is found to be unenforceable, then the entirety of this Section 15 (Dispute Resolution and Arbitration) will be null and void as to your dispute.

15.4 Exceptions
Notwithstanding the above:

Either party may bring an individual action in small claims court for disputes that qualify.
Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights.
Disputes regarding the validity, scope, or enforceability of this arbitration provision may be heard by a court.

15.5 Opt Out
You may opt out of the arbitration provision in this Section 15 by sending written notice to hello@getjuner.com within 30 days of first accepting these Terms. Your notice must include your full name, the email address associated with your Juner account, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provision of these Terms.

15.6 Governing Law
These Terms and any dispute arising out of or related to them or the Service are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16. Changes to These Terms
We may update these Terms from time to time. When we make a material change, we will notify you by email, by in-app notification, or by posting a notice on the Juner marketing website at least 30 days before the change takes effect. The "Effective Date" at the top of these Terms indicates when the latest version became effective.
Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of those Terms. If you do not agree to the updated Terms, you must stop using the Service.
17. Apple App Store and Google Play Additional Terms
If you downloaded Juner from the Apple App Store or Google Play, the following additional terms apply.
Apple App Store. You acknowledge that these Terms are between you and Juner, not Apple. Apple has no obligation to provide maintenance or support for Juner. In the event of any failure of Juner to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the app to you (if any); to the maximum extent permitted by law, Apple will have no other warranty obligation. Apple is not responsible for addressing any claims by you or any third party relating to Juner. Apple and its subsidiaries are third-party beneficiaries of these Terms and have the right to enforce them against you.
Google Play. You acknowledge that Google is not a party to these Terms and has no obligations regarding Juner. Your use of Juner downloaded from Google Play is also governed by the Google Play Terms of Service.

18. Miscellaneous
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Juner regarding the Service and supersede any prior agreements.
Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force.
No Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.
No Third-Party Beneficiaries. Except as expressly stated in Section 17, these Terms do not confer any rights on any third party.
Notices. We may provide notices to you by email, in-app notification, or posting on the Juner marketing website. You may provide notices to us by emailing hello@getjuner.com.
Force Majeure. We will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, war, terrorism, pandemic, natural disaster, labor disputes, or government action.
